Version 1 In force since October 10, 2026
This English version of the terms of sale is a translation provided for information purposes only. Only the French version is binding (article 27.8 of the terms of use); in the event of any discrepancy, the French version prevails.
1.1. These terms of sale (the "Terms of Sale") govern the sale, by EASIOO, a French simplified joint-stock company (société par actions simplifiée) with a share capital of 3,000 euros, whose registered office is at 271 rue des Plantières, 69380 Chasselay, France, registered with the Lyon Trade and Companies Register under number 107 391 161, intra-community VAT number FR23107391161 ("Easioo"), of the offers of access to the Easioo service.
1.2. In accordance with article L441-1 of the French Commercial Code, the Terms of Sale are the sole basis for commercial negotiation. They are provided to any professional who requests them at contact@easioo.com.
1.3. Capitalised terms have the meaning given to them in article 2 of Easioo's terms of use (the "Terms of Use"). The Terms of Sale and the Terms of Use, together with the order summary or the accepted quote, form the Contract.
1.4. Easioo's offers are reserved exclusively for professionals acting for the purposes of their professional activity and established in the countries offered at the time of ordering. Any order constitutes a declaration by the Client to that effect, under the conditions of article 5 of the Terms of Use.
2.1. Easioo offers:
a monthly subscription and an annual subscription, subscribed online, payable by card, preceded where applicable by a free trial;
quoted offers, adapted to specific needs, governed by article 14.
2.2. The features, the number of Companies included and the limits of each offer are those described at the time of ordering. Unless otherwise stated, a subscription gives access to the Service for a single Company.
2.3. The offers and prices shown on the Site are valid for as long as they are displayed there. Easioo may change or withdraw an offer for the future at any time, without affecting current subscriptions, subject to article 8.3.
2.4. Social Account connection and automatic publication of Posts are not included in any subscription or quoted offer, unless expressly stated in written special terms. Any experimental enablement for an authorised Account under article 7.6 of the Terms of Use is separate from the Offer subscribed to and does not constitute a feature purchased by the Client.
3.1. To subscribe, the Client, as holder of an Account:
chooses the monthly or annual plan;
enters its billing details: company name, professional identifier, VAT number where applicable, address and contact person;
reviews its order summary, which states the plan, the price excluding taxes, the billing frequency, the length of any trial and the amount due on the date of the order;
expressly accepts the Terms of Sale and authorises Easioo to charge its card automatically at each renewal date, until cancellation, by ticking a box that is not pre-ticked;
is redirected to the payment provider's secure payment page, on which it enters its card details and, where applicable, completes the authentication requested by its bank.
3.2. The Client may check and correct the information entered before confirming its order. It is solely responsible for the accuracy of the billing information, which appears on its invoices.
3.3. The subscription is concluded when Easioo has confirmed with the payment provider the registration of the card or the payment of the first period. Returning to the Site from the payment page does not amount to confirmation. If the payment is declined, abandoned or expires, no subscription is concluded.
3.4. Easioo keeps the text of the accepted charge authorisation, the version of the Terms of Sale accepted, and its date and time, in accordance with article 4 of the Terms of Use.
3.5. Easioo may refuse an order on legitimate grounds, in particular in the event of inaccurate or incomplete information, an invalid VAT number, a previous payment dispute, a subscription already in progress on the Account, suspected fraud, a previous breach of the Terms of Use or a Client established in a country not offered.
3.6. As the parties are professionals, they agree, in accordance with article 1127-3 of the French Civil Code, to derogate from the provisions of articles 1127-1 (1° to 5°) and 1127-2 of the French Civil Code. Easioo nevertheless sends the Client a confirmation by email, the absence or delay of which does not affect the validity of the order.
4.1. Where offered, the free trial allows the Client to discover the Service with limited features, for the period stated at the time of ordering. Only one trial is granted per Client, per Account and per Company. Easioo may refuse the trial where a trial has already been granted to the same Client, the same Company, the same professional identifier or the same means of payment.
4.2. The trial requires the registration of a valid card, which may give rise to a verification without charge. It starts on the date and at the time at which Easioo confirms the registration of the card, and ends on expiry of the period stated at the time of ordering.
4.3. During the trial:
access is limited to a single Company;
the conversation with Léa is closed as soon as the editorial calendar has been generated;
only the first Post of the editorial calendar may be viewed and edited, its text and hashtags copied and its media downloaded for manual publication by the Client;
Social Account connection and automatic publication are not included in the trial, even where it gives access to a Post.
4.4. The Client may cancel the subscription at any time during the trial, from its Client Area or by a request sent to contact@easioo.com and received before the end of the trial. Nothing is then charged.
4.5. Unless cancelled before the end of the trial, the subscription continues automatically and the price of the first period of the chosen plan is charged to the registered card at the end of the trial. Easioo may send a reminder before that date; the absence of a reminder does not affect the continuation of the subscription.
4.6. Where the trial ends without any payment having been made, the Client's access to the Service is limited to viewing the trial's Post.
4.7. Easioo may change the trial conditions for future orders or stop offering it at any time.
5.1. Prices are stated in euros and excluding taxes. The applicable price is the one displayed in the order summary accepted by the Client.
5.2. Value added tax is invoiced at the rate in force on the date it becomes chargeable. Where the Client is a taxable person established in another Member State of the European Union and provides a valid intra-community VAT number, the invoice is issued excluding tax, the tax being self-assessed by the Client (reverse charge). Easioo may check the validity of the VAT number provided with the European Commission's VAT information exchange system and refuse the order if it is invalid. The Client informs Easioo of any change in its tax situation and bears the consequences of any inaccurate tax information.
5.3. Any change in the rate or basis of the applicable taxes is passed on automatically in the price from its effective date.
5.4. The subscription price is due for each period, regardless of the Client's actual use of the Service.
6.1. The subscription price is payable in advance, by card, at the beginning of each period. Payment is processed by the payment service provider Axepta BNP Paribas. Easioo neither receives nor keeps the full card number or its security code; it keeps only the technical references transmitted by the payment provider that are necessary for recurring payments, as well as the brand, the last four digits, the expiry date and the cardholder's name.
6.2. The Client authorises Easioo to charge its card, at each renewal date, with the price of the following period, until the subscription is cancelled. The Client warrants that it is authorised to use the registered card and maintains a valid card with sufficient funds.
6.3. The Client may replace the registered card from its Client Area. The new card is used for the following renewals.
6.4. Easioo may accept, for quoted offers or exceptionally, payment by bank transfer, under the conditions set out in the invoice or the quote.
7.1. An invoice is issued for each payment received. It is sent to the Client by email and made available to it in electronic form, which the Client accepts. No invoice is issued for a card verification without charge.
7.2. An issued invoice is neither modified nor deleted. Any correction gives rise to the issue of a corrective invoice or a credit note.
7.3. Invoices are issued in the formats and through the channels required by the applicable regulations, and in particular, where it applies, through an approved electronic invoicing platform.
8.1. The subscription is taken out for a period of one month or one year, depending on the plan chosen, from the end of the trial or, where there is no trial, from the confirmation of the payment of the first period.
8.2. At the end of each period, the subscription is renewed automatically for a period of the same length, unless cancelled under the conditions of article 9. Easioo may send the Client a reminder before the renewal date; the absence of a reminder does not affect the renewal.
8.3. Easioo may change the subscription price for future periods. The new price is notified to the Client at least thirty days before the renewal date from which it applies. A Client that does not accept it may cancel its subscription before that date; otherwise, the new price applies from that date. In the absence of notification within this time limit, the previous price is maintained for the period concerned.
9.1. The Client may cancel its subscription at any time, from its Client Area or by email sent to contact@easioo.com from the address associated with the Account. Easioo confirms the cancellation by email.
9.2. Cancellation takes effect at the end of the current period. The Client keeps access to the Service until that date. No refund, in whole or in part, is due for the current period, in particular in the event of cancellation, non-use, partial use, deletion of the Account or change of mind, subject to article 12 of the Terms of Sale and articles 16.4, 24.3, 25 and 26.2 of the Terms of Use.
9.3. A change of plan is made on request sent to contact@easioo.com from the address associated with the Account. It takes effect at the end of the current period, after the Client has accepted the price of the new plan. Easioo may make the change of plan subject to a new registration of the card. No pro rata adjustment is applied.
9.4. At the end of the subscription, the Client's access to the Service is limited to viewing its data; their export remains available on request under article 25.1 of the Terms of Use. Any experimental enablement of automatic publication ends. What happens to the data is governed by article 25 of the Terms of Use.
10.1. The Client is put on notice to pay by the mere fact that the payment obligation has fallen due, in accordance with article 1344 of the French Civil Code.
10.2. If a payment is declined or fails, Easioo informs the Client by email. The Client's access to the features of the Service, and in particular to content generation and editing, is suspended as soon as the payment is declined, access remaining limited to viewing data, their export remaining available on request (article 25.1 of the Terms of Use). Any experimental enablement of automatic publication is suspended.
10.3. Easioo makes no new automatic charge attempt after a decline. The Client may settle the unpaid instalment at any time from the link sent to it or from its Client Area, where applicable with another card, which then becomes the registered card. Access is restored as soon as the payment is confirmed, for the remaining period of the settled instalment.
10.4. Failing settlement within fifteen days of the notification of the declined payment, the subscription is terminated automatically (de plein droit), without any other formality, in accordance with article 1225 of the French Civil Code, the notification of the declined payment constituting formal notice and mentioning this termination clause. The sums due for the unpaid period remain payable.
10.5. Any sum not paid when due bears automatically, from the day following the due date shown on the invoice and without any reminder being necessary, late-payment penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, plus ten percentage points. The Client is also automatically liable for a fixed indemnity for recovery costs of forty euros per invoice concerned. Where the recovery costs incurred exceed this amount, Easioo may request additional compensation on proof. No discount is granted for early payment.
10.6. The Client may in no event suspend or set off the payment of the sums due on the grounds of a complaint, without Easioo's written agreement or a court decision.
10.7. Easioo may entrust the recovery of unpaid sums to a third party and refuse any new order from the Client until the sums due have been paid in full.
11.1. Before disputing a payment with its bank, the Client undertakes to send a complaint to contact@easioo.com so as to allow an amicable settlement. This undertaking does not deprive the Client of the rights it holds under banking regulations.
11.2. In the event that a payment is disputed with the Client's bank or the card is stopped, Easioo may immediately suspend access to the Service until the dispute is resolved.
11.3. Where the dispute is unfounded, in particular where the payment corresponds to an instalment due, the Client remains liable for the disputed sums, plus the bank and handling fees borne by Easioo as a result of the dispute, without prejudice to the penalties and indemnities provided for in article 10.5. An unfounded dispute constitutes a serious breach entitling Easioo to terminate the Contract under the conditions of article 24.3 of the Terms of Use.
11.4. Easioo may provide the payment provider and the bank with the items establishing the performance of the Contract, in particular the records of acceptance, charge authorisation, connection and use of the Service.
12.1. A payment charged by mistake, twice for the same period or for a period not due is refunded to the Client as soon as possible after it is identified, to the card used for the payment where possible.
12.2. Apart from this case and the cases expressly provided for in the Contract, no refund is due. Easioo may, at its sole discretion and without this creating any right for the future or for other clients, grant a commercial gesture.
As Easioo's offers are reserved exclusively for professionals acting for the purposes of their activity and are concluded at a distance, the Client has no right of withdrawal.
14.1. Any request for a quoted offer is sent to contact@easioo.com. The quote specifies in particular the services, the price excluding taxes, the invoicing and payment terms and its period of validity. Where no period of validity is stated, the quote is valid for thirty days from its issue.
14.2. The contract is formed upon Easioo's receipt of the quote accepted by the Client within its period of validity, without reservation or modification. Any subsequent modification is the subject of an amendment or a new accepted quote.
14.3. Unless otherwise provided in the quote, invoices issued under a quoted offer are payable by bank transfer within thirty days of their date of issue. Articles 10.5 to 10.7 apply. In the event of a payment default, Easioo may, after a reminder that has remained without effect for eight days, suspend the performance of the services and access to the Service until payment in full.
14.4. The Terms of Use apply to the use of the Service provided under a quoted offer.
Easioo's liability in respect of the offers sold under the Terms of Sale is governed by articles 20 to 22 of the Terms of Use, which apply in full.
Easioo may change the Terms of Sale. The new version applies to orders placed after it comes into force. For current subscriptions, it is notified to the Client and comes into force on the date stated in the notification, under the conditions of article 26 of the Terms of Use: the Client may cancel its subscription within thirty days of the notification, with a refund of the price corresponding to the paid period remaining after the effective date of the cancellation (article 26.2 of the Terms of Use). Any price increase for a current subscription applies only from the renewal date following the end of that period.
Article 28 of the Terms of Use, relating to governing law, amicable settlement and competent jurisdiction, applies to the Terms of Sale.
