Version 1 In force since October 10, 2026
This English version of the terms of use is a translation provided for information purposes only. Only the French version is binding (article 27.8); in the event of any discrepancy, the French version prevails.
1.1. These terms of use (the "Terms of Use") set out the conditions under which EASIOO, a French simplified joint-stock company (société par actions simplifiée) with a share capital of 3,000 euros, whose registered office is at 271 rue des Plantières, 69380 Chasselay, France, registered with the Lyon Trade and Companies Register under number 107 391 161 ("Easioo"), makes the Easioo online service available to its professional clients, and the conditions under which that service is used.
1.2. The Terms of Use apply to any use of the Service, whether access is free of charge, provided as part of a trial or provided as part of a paid subscription or a quoted offer. The commercial and financial terms of these offers are governed by Easioo's terms of sale (the "Terms of Sale").
1.3. The Service is intended exclusively for professionals. It is offered neither to consumers nor to non-professionals within the meaning of the French Consumer Code.
The following capitalised terms have, in the Terms of Use, the Terms of Sale and Easioo's privacy policy, the meaning set out below, in the singular as in the plural:
Client: the natural or legal person acting exclusively for the purposes of its commercial, industrial, craft, liberal or agricultural activity, who creates an Account and accepts the Terms of Use. A sole trader acting for the purposes of their activity is a Client.
User: any natural person who accesses the Service by means of the Client's Account or with the Client's authorisation.
Account: the Client's personal space in the Service, accessible by means of credentials.
Client Area: all the pages of the Service accessible after authentication.
Service: the Easioo online service, including in particular the Site, the assistant Léa, the tools for preparing, reviewing, scheduling and retrieving content for manual publication, the notifications, and all the associated software, interfaces and infrastructure.
Site: the website through which the Service is offered and made accessible.
Léa: the artificial intelligence system integrated into the Service, which assists the Client in preparing its communication.
Company: the professional entity, created in the Account, for which the Client prepares its communication.
Client Content: all information, data, instructions, answers, texts, images, logos, photographs, videos, documents, website addresses and other items of any kind provided, uploaded, communicated or selected by the Client or a User, as well as the items collected in the Service from a website communicated by the Client.
Generated Content: the analyses, marketing plans, editorial calendars, post texts, hashtags, suggestions, recommendations and other items produced by means of the Service, in particular by Léa, from the Client Content and the Client's instructions.
Post: a text, accompanied where applicable by media, intended to be published on a Social Account at a scheduled date and time.
Approval: the act by which a User expressly approves a Post in the Service. It authorises automatic publication only where that feature has been enabled separately for the Account under article 7.6.
Platform: any social network or third-party service with which the Service enables a connection, in particular Facebook, Instagram and LinkedIn.
Social Account: a page, account or profile of the Client on a Platform, connected to the Service.
Offer: the offer of access to the Service subscribed to by the Client under the Terms of Sale, whether a trial, a subscription or a quoted offer.
Documentation: the information on how the Service works made available by Easioo in the Service or on the Site.
3.1. The contractual relationship between Easioo and the Client is governed by the following documents, which together form the contract (the "Contract"):
the quote or the specific conditions signed or accepted by both parties, where applicable;
the order summary accepted by the Client, where applicable;
the Terms of Sale;
these Terms of Use.
3.2. In the event of a contradiction between these documents, the higher-ranking document in the above order prevails as regards the subject of the contradiction. However, article 18 of the Terms of Use prevails over any other provision as regards the processing of personal data carried out by Easioo on behalf of the Client.
3.3. Easioo's privacy policy and legal notice are information documents. They do not give rise to any contractual obligation on Easioo beyond what is provided for by law and the Contract.
3.4. No general purchasing conditions, no document of the Client and no contrary provision may be relied on against Easioo, unless expressly accepted by it in writing.
3.5. The Contract constitutes the entire agreement of the parties relating to its subject matter. It supersedes any prior document, exchange, commercial presentation, brochure or statement. The descriptions, examples, demonstrations and promotional content of the Site are purely indicative and do not constitute contractual commitments, unless they are expressly incorporated into the Contract.
4.1. The creation of an Account is subject to the express acceptance of the Terms of Use and the Terms of Sale, by ticking a box that is not pre-ticked accompanying a declaration by the Client. The Terms of Use and Terms of Sale in force are accessible before their acceptance, with their version number and effective date, and can be saved and printed.
4.2. The Contract is formed on the date of this acceptance. Access to the Account is opened after confirmation of the Client's email address.
4.3. As the Client and Easioo are both professionals, they agree, in accordance with article 1127-3 of the French Civil Code, to derogate from the provisions of articles 1127-1 (1° to 5°) and 1127-2 of the French Civil Code, without prejudice to the information actually provided by Easioo during the ordering process.
4.4. For each acceptance, Easioo records the Account identifier, the document accepted, its version, its language, the digital fingerprint of its content, the text of the declaration accepted and the date and time of acceptance. The Client may obtain a copy of the documents it has accepted by sending a request to contact@easioo.com.
4.5. In accordance with article 1368 of the French Civil Code, the parties agree that the computer records kept in the systems of Easioo and its service providers, in particular the records of acceptance, Approval, publication, connection, payment and communication, are authoritative between them, unless the Client provides evidence to the contrary. They are admissible under the same conditions and with the same probative value as a document drawn up on paper.
5.1. The Client represents and warrants:
that it acts exclusively for the purposes of its professional activity;
that the identification details provided, in particular the company name, the SIRET number or any other professional identifier, the address and the VAT number, are accurate, up to date and relate to it;
that the person who creates the Account, accepts the Terms of Use and the Terms of Sale and uses the Service has the authority necessary to bind the Client.
5.2. The Client acknowledges that the Service falls within the scope of its professional activity, in that its purpose is the communication and promotion of that activity.
5.3. Any inaccurate statement relating to the professional status of the Client, its identity or the authority of the person binding it constitutes a serious breach entitling Easioo to suspend or terminate the Contract under the conditions of articles 23 and 24, without prejudice to any damages.
6.1. The Account is created by means of a verified email address and a password. The Client undertakes to provide accurate information and to keep it up to date.
6.2. The credentials are personal and confidential. The Client is solely responsible for keeping them, for their confidentiality and for their use. It undertakes to choose a strong password specific to the Service, not to disclose it, including to Easioo's support, and to secure the email account associated with the Account.
6.3. The Client chooses the persons it allows to use the Account, under its sole responsibility. Any access to the Service and any action carried out by means of the Client's credentials, and in particular any Approval, are deemed to have been carried out by the Client, unless the Client proves otherwise, in particular a fault of Easioo in securing the Service.
6.4. The Client informs Easioo without delay, at contact@easioo.com, of any loss, disclosure or unauthorised use of its credentials or of any Social Account, and immediately changes its password. Easioo may, as a precautionary measure, suspend access to the Account, the connections to the Social Accounts and the scheduled Posts.
6.5. The Client is solely responsible for the security of its equipment, its software, its internet connection and access to its Social Accounts.
7.1. The Service enables the Client in particular:
to talk with Léa to describe its Company, its activity, its offers, its targets and its objectives;
to provide the address of a website so that the Service collects and analyses its publicly accessible pages, documents and logo;
to obtain an analysis of its Company, a marketing plan and an editorial calendar;
to provide images and videos, which are analysed by the Service to prepare Posts;
to obtain proposed texts and hashtags, to edit them and to approve them;
to copy text and hashtags and download media in order to publish Posts manually on the Social Accounts of its choice;
to receive notifications relating to its activity in the Service;
to obtain, on request, an export of its data and to delete its Account.
7.2. The analysis of a video covers a limited number of frames extracted from it. It covers neither the soundtrack nor necessarily the entire video.
7.3. The Service is provided with the features it has on the date of use, as described in the Documentation. Features presented as upcoming, under development or "coming soon", in particular Social Account connection, automatic publication and performance indicators, are owed only if they are actually made available, and Easioo is bound by no availability schedule.
7.4. The number of Companies, the features and the usage limits applicable to the Client are those of the Offer subscribed to. Easioo may implement reasonable technical usage limits, in particular on the volume of requests and on file size and format, in order to preserve the security, stability and quality of the Service.
7.5. The demonstration accessible on the Site runs on fictitious scenarios and data. It does not publish anything and is neither a trial nor a commitment regarding the features or results of the Service.
7.6. On the effective date of these Terms of Use, Social Account connection and automatic publication of Posts are unavailable in the marketed offer and are included neither in the subscription nor in the free trial. Easioo may enable them separately, on an experimental basis and at no extra charge, for certain expressly authorised Accounts. Such enablement does not change the Offer subscribed to, creates no right to its continuation or general availability and may be withdrawn at any time. Articles 9.2 to 9.8 and 10 concerning connections and automatic publication apply only while such enablement is active.
8.1. The Client is informed that Léa is an artificial intelligence system and that the Generated Content is produced automatically by artificial intelligence models supplied by third parties.
8.2. The Client acknowledges that, by its nature, an artificial intelligence system may produce content that is inaccurate, incomplete, outdated, unsuitable, unoriginal, similar to content produced for other persons, or that does not meet its expectations, including where such content appears plausible. Easioo does not guarantee the accuracy, relevance, completeness, originality, lawfulness or fitness for a particular purpose of the Generated Content.
8.3. The Generated Content is a proposal. It constitutes neither legal, tax, financial, regulatory or professional advice, nor a confirmation that content complies with the rules applicable to the Client's activity, nor a guarantee of results.
8.4. The Client undertakes to read and check the Generated Content in full before any use or Approval, and in particular the accuracy of the facts, prices, promotions, offer conditions, dates, characteristics of products and services, contact details, claims, mandatory statements and sector-specific rules applicable to its activity. The Client corrects any inaccurate information provided to the Service.
8.5. The Client is solely responsible for the choice to use, edit, approve, publish or not publish Generated Content, and for the consequences of that choice.
8.6. Easioo implements the transparency measures incumbent on it under Regulation (EU) 2024/1689 on artificial intelligence, where applicable. The Client shall not remove, alter or circumvent these measures. It is responsible for complying with the obligations incumbent on it as a user of an artificial intelligence system, in particular the obligations to inform the public provided for by that regulation where they apply to its Posts, as well as the Platforms' rules on content generated or modified by artificial intelligence.
8.7. The Client shall not use the Service to generate content intended to mislead the public as to a person's identity, to create fake reviews or fake testimonials, or for any misleading or unfair commercial practice.
8.8. Easioo may at any time change the artificial intelligence models, the providers of these models, and the parameters and instructions used by Léa, without such changes giving rise to any compensation, provided that the Service retains its essential features.
9.1. Under the standard operation of the Service, the Client reviews the Post, copies its text and hashtags, downloads its media and then publishes it itself on the Platform of its choice. Easioo does not transmit it automatically to a Platform.
9.2. Where automatic publication has been enabled separately under article 7.6, the Service shows the User the Post, the destination Platform and the scheduled publication date and time. Approval then authorises Easioo to publish the Post automatically, as shown, on the Social Account shown, at the scheduled date and time, without any further action by the Client.
9.3. While automatic publication is enabled, any change to the text, hashtags, media or date of a Post, as well as any disconnection or replacement of the destination Social Account, withdraws the Approval. A new Approval is then required.
9.4. While automatic publication is enabled, the Client may withdraw an Approval in the Service until the scheduled time. After that, withdrawal may no longer be possible.
9.5. By approving a Post, the Client confirms that it has checked its entire content and holds all the rights and authorisations necessary for its publication. It alone assumes editorial responsibility for it.
9.6. Where it has been enabled separately, automatic publication of a Post requires that the Social Account be connected, that the authorisations granted by the Client to the Platform be valid, that the media be available and comply with the Platform's requirements, that the Platform accept the Post and that the Client's access to the Service be neither suspended nor expired. Where a Post cannot be published within a reasonable technical delay after the scheduled time, it is not published automatically later, so as to avoid an ill-timed publication; the Client may reschedule it and approve it again.
9.7. While automatic publication is enabled, the suspension, restriction or termination of the Client's access to the Service, for any reason whatsoever, prevents the publication of scheduled Posts, including approved ones. Easioo incurs no liability in this respect where the suspension, restriction or termination of access results from the Contract, a payment default, a breach by the Client or the Client's own decision.
9.8. A Post published on a Platform is placed under the control of that Platform and of the Client. It must be edited or deleted by the Client directly on the Platform. Deleting the Account or data in the Service does not delete Posts already published.
10.1. Where connection has been enabled separately under article 7.6, the Client connects only Social Accounts that it owns or that it is authorised to administer and use for the purposes of its activity. It complies with the terms of use, policies and rules of each Platform, and keeps the authorisations granted valid.
10.2. By connecting a Social Account, the Client authorises Easioo to access that Social Account, within the limits of the authorisations it grants to the Platform, in order to publish the approved Posts and to perform the features of the Service.
10.3. The Platforms are third-party services independent of Easioo. Easioo has no control over their availability, their programming interfaces, their terms, their algorithms, their moderation rules, the visibility or reach of content, or the suspension or closure of a Social Account. Easioo guarantees neither continued access to a Platform, nor the continuation of an integration, nor the acceptance of a Post by a Platform.
10.4. Easioo is not responsible for the decisions, failures, interruptions, changes, restrictions or sanctions of a Platform, nor for their consequences for the Client. Where a Platform changes or withdraws access to its interfaces, Easioo may change, limit or remove the corresponding integration, without compensation.
10.5. Disconnecting a Social Account in the Service ends Easioo's use of the corresponding access. It does not necessarily withdraw the authorisations granted by the Client on the Platform, which the Client must manage directly with the Platform.
11.1. The Client uses the Service in accordance with the Contract, the Documentation, the applicable laws and regulations and the rules of the Platforms. It is responsible for the Users' compliance with these obligations.
11.2. The Client shall not, and shall prohibit Users from:
providing, generating, approving or publishing content that is unlawful, misleading, defamatory, insulting, discriminatory, violent, pornographic, inciting hatred or violence, or that infringes human dignity, the protection of minors, privacy, image rights, intellectual property rights, trade secrets or any other right of a third party;
publishing advertising or claims contrary to the rules applicable to its activity, in particular the rules on commercial practices, regulated advertising and regulated professions;
providing data falling within the special categories within the meaning of article 9 of Regulation (EU) 2016/679, data relating to criminal convictions, banking data or data concerning minors, except where strictly necessary and lawful;
providing the address of a website of which it is not the publisher or whose content it is not authorised to use;
using the Service on behalf of third parties, reselling it, sub-licensing it, making it available to third parties or using it to provide a competing service, without Easioo's written agreement;
creating several Accounts or using several identities to benefit from a trial more than once or to circumvent the limits of an Offer;
accessing or attempting to access all or part of the Service without authorisation, circumventing a security measure or a technical limit, testing the vulnerability of the Service without Easioo's written agreement, or disrupting its operation;
extracting the Service, its content, Léa's instructions or other clients' data by automated means, or using the Service to develop or train a competing model or service;
attempting to obtain from Léa the disclosure of its internal instructions or to circumvent its operating rules;
decompiling, disassembling or reverse engineering the Service, except within the mandatory limits of the law;
introducing a virus, malicious code or any item likely to damage the Service;
using the Service for unlawful or fraudulent purposes.
11.3. The Client cooperates in good faith with Easioo and provides it, at its request, with the information necessary for the performance of the Contract, the handling of a complaint or a report, or compliance with a legal obligation.
11.4. Any breach of this article constitutes a serious breach entitling Easioo to take the measures provided for in articles 15, 23 and 24.
12.1. The Client retains all the rights it holds in the Client Content. It is solely responsible for the Client Content, its accuracy, its lawfulness and its compliance with the Contract.
12.2. The Client represents and warrants that it holds all the rights, licences, authorisations and consents necessary in the Client Content, for its use in the Service and for the publication of the Posts on the Platforms, and in particular:
the intellectual property rights in the texts, images, photographs, videos, music, sounds, logos, trademarks and distinctive signs;
the authorisations of the persons depicted, identifiable or mentioned, in respect of their image rights and the protection of their privacy;
the right to use the content of the website it provides;
the lawfulness of the processing of the personal data contained in the Client Content.
12.3. The Client grants Easioo, worldwide, on a non-exclusive and free-of-charge basis, for the term of the Contract plus the time necessary for the end-of-Contract operations and the legal retention obligations, the right to host, reproduce, store, analyse, adapt, translate, convert, resize, compress, display and transmit the Client Content to its service providers and to the Platforms chosen by the Client, solely to the extent necessary for the provision, security and maintenance of the Service.
12.4. Easioo does not use the Client Content to train artificial intelligence models and does not use the Client Content for advertising purposes.
12.5. Easioo is under no general obligation to monitor the Client Content or to seek facts or circumstances indicating unlawful activities. Easioo checks neither the rights attached to the Client Content, nor its accuracy, nor its compliance with the rules applicable to the Client's activity. The absence of a warning or refusal by Easioo or Léa does not amount to approval of content.
12.6. The Client keeps its own copies of the Client Content. The Service is not intended to be an archiving tool.
13.1. Subject to payment of the sums due and compliance with the Contract, Easioo grants the Client, worldwide and for the duration of the rights, the right to use, reproduce, modify and publish the Generated Content for the purposes of its professional activity, including after the end of the Contract, to the extent of the rights Easioo holds in that Generated Content.
13.2. The Client acknowledges that the Generated Content may not be protectable by copyright, may be identical or similar to content generated for other persons and may reproduce items belonging to third parties. Easioo grants no exclusivity over the Generated Content and does not guarantee that it is free of third-party rights. It is the Client's responsibility to check, before any publication, that the Generated Content does not infringe the rights of third parties.
13.3. The media recommendations proposed by Léa are suggestions. Easioo supplies no media and grants no rights in media it has not supplied.
14.1. The Service, the Site, the software, source and object code, databases, interfaces, algorithms, instructions and settings of Léa, methods, Documentation, texts, graphics, style guides, names, trademarks, logos, the character of Léa and more generally all the items making up the Service, with the exception of the Client Content, are and remain the exclusive property of Easioo or its licensors.
14.2. Easioo grants the Client, for the term of the Contract, a personal, non-exclusive, non-assignable and non-transferable right to access and use the Service, solely for its internal professional needs and in accordance with the Contract. No other right is granted. Any reproduction, representation, adaptation or use not expressly authorised is prohibited and constitutes infringement.
14.3. The suggestions, ideas, improvement requests and feedback communicated by the Client about the Service may be freely used by Easioo, without restriction or consideration, to improve or develop its services.
14.4. Easioo may use technical and statistical data relating to the use of the Service, anonymised and aggregated, which do not make it possible to identify the Client, a natural person or the Client Content, in order to operate, secure, measure and improve the Service.
15.1. Any person may report to Easioo content stored in the Service that they consider unlawful or contrary to the Contract, in accordance with the procedure described in the legal notice. The report must contain a sufficiently substantiated explanation, the precise location of the content, the name and email address of its author, save for the exceptions provided for by law, and a statement confirming that it is made in good faith.
15.2. Easioo examines the reports received in a timely, diligent and objective manner. Easioo does not use any automated means to take decisions on reports.
15.3. Where content is unlawful or contrary to the Contract, or in the event of a serious risk to the rights of a third party or to security, Easioo may, in a proportionate manner: refuse or remove the content, disable access to it, prevent or suspend a Post, suspend a connection to a Social Account, restrict or suspend access to the Service, or terminate the Contract under the conditions of article 24.
15.4. Easioo informs the Client of any measure taken in respect of its content or its Account, setting out clearly and specifically the facts and reasons for the measure, its legal or contractual basis and the available means of redress, except where the law, an authority or the protection of an investigation precludes it. The Client may contest the measure by writing to contact@easioo.com; the contestation is examined by a natural person. The Client remains free to bring the matter before the competent courts.
15.5. Easioo may keep the content concerned and the items of the report for the time necessary to handle the contestation, to defend its rights or to comply with a legal obligation.
16.1. Easioo endeavours to ensure access to the Service twenty-four hours a day, seven days a week, under an obligation of means (best-efforts obligation). No availability rate, response time or recovery time is guaranteed.
16.2. Easioo may interrupt or limit access to all or part of the Service for reasons of maintenance, update, improvement, security or emergency or in the event of an incident. Where possible, Easioo endeavours to carry out planned maintenance at times of low use and to inform the Client by any means. Such interruptions give rise to no compensation.
16.3. The Client acknowledges that the Service relies on the internet, on hosting, artificial intelligence, email and payment providers, and on Platforms, whose availability and operation are beyond Easioo's control.
16.4. Easioo may change the Service, in particular its features, its ergonomics, its interfaces, its artificial intelligence models, its service providers and its integrations, in particular to improve it and to take account of technical developments, of the Platforms or of regulations. Where a change removes an essential feature of the Client's current paid subscription, Easioo informs the Client, who may terminate its subscription; the price corresponding to the period remaining after the effective date of the termination is then refunded. This right of termination is the Client's sole remedy in respect of such a change.
16.5. Easioo backs up the data of the Service for continuity and security purposes. These backups do not constitute an archiving or on-demand restoration service for the Client.
16.6. Support is available by email at contact@easioo.com. Easioo endeavours to respond within a reasonable time, without any commitment as to response time.
17.1. Easioo is free to use the service providers of its choice for the performance of all or part of the Service, in particular for hosting, storage, inference of artificial intelligence models, sending emails and payment, and to replace them.
17.2. Easioo remains liable to the Client for the performance of its own obligations under the Contract, within the limits of article 20.
18.1. Easioo processes, as controller, the personal data relating to the Client, its representatives and the Users that is necessary for the management of the Account, of the contractual relationship, of invoicing and of security, for compliance with its legal obligations and for the defence of its rights, under the conditions described in its privacy policy.
18.2. For the personal data contained in the Client Content and in the Posts, in particular data relating to persons depicted or mentioned in the media and to the Client's managers, employees, customers or partners, the Client acts as controller and Easioo as processor within the meaning of article 28 of Regulation (EU) 2016/679 (the "GDPR"). The following provisions apply to such processing:
Subject matter, nature and purpose: hosting, analysis, transformation and transmission of the data in order to provide the Service, including the preparation and publication of Posts, security, technical supervision and support.
Duration: the term of the Contract, plus the time necessary for the end-of-Contract operations provided for in article 25.
Categories of data subjects: Users, managers, employees, customers, prospects and partners of the Client and any person appearing in the Client Content.
Categories of data: identification data, professional data, images and videos, voices possibly present in videos, and any other data that the Client chooses to provide.
Instructions: Easioo processes these data on the Client's documented instructions. The Contract, the configuration of the Service and the actions carried out by the Client in the Service constitute its instructions. Easioo informs the Client if, in its opinion, an instruction infringes the regulations. Where Union or Member State law requires processing, Easioo informs the Client beforehand, unless prohibited by law.
Confidentiality: Easioo ensures that the persons authorised to process these data are bound by an obligation of confidentiality.
Security: Easioo implements appropriate technical and organisational measures within the meaning of article 32 of the GDPR, taking into account the state of the art, the costs of implementation and the nature, scope, context and purposes of the processing.
Sub-processors: the Client gives Easioo a general authorisation to engage sub-processors. The list of sub-processors is provided to the Client on request at contact@easioo.com and appears in the privacy policy. Easioo informs the Client of any intended addition or replacement. The Client may object in writing, on legitimate grounds relating to data protection, within fifteen days of this information; failing agreement, the Client may terminate the Contract, which is its sole remedy. Easioo imposes on its sub-processors data protection obligations substantially equivalent to those of this article.
Transfers: Easioo transfers these data outside the European Economic Area only in compliance with chapter V of the GDPR. The publication of a Post on a Platform and the transmission to it of the necessary items are carried out on the Client's instructions; the Platform then processes these data under its own responsibility.
Assistance: Easioo assists the Client, by appropriate technical and organisational measures and insofar as possible, in responding to requests to exercise data subjects' rights, and assists it in complying with the obligations provided for in articles 32 to 36 of the GDPR, taking into account the nature of the processing and the information available to it. Easioo forwards to the Client any request from a data subject addressed directly to it.
Personal data breach: Easioo notifies the Client of any personal data breach without undue delay after becoming aware of it, with the information available to it.
End of processing: at the end of the Contract, Easioo deletes these data in accordance with article 25, unless a legal retention obligation applies. The Client may retrieve them beforehand by requesting an export under article 25.1.
Audit: Easioo makes available to the Client the information necessary to demonstrate compliance with the obligations laid down in article 28 of the GDPR. The Client may have an audit carried out, at its own expense, by an independent auditor bound by professional secrecy, subject to thirty days' written notice, no more than once per twelve-month period save in the event of a proven data breach, under conditions that do not disrupt the operation of the Service and preserve the confidentiality of other clients' information and the security of the Service.
18.3. The Client, as controller, warrants the lawfulness of the processing it entrusts to Easioo, has a legal basis for each of them, informs the data subjects, in particular where data are collected from its website or appear in the media it provides, obtains the necessary consents and authorisations and responds to requests to exercise data subjects' rights.
18.4. The parties may enter into a separate data processing agreement, which then prevails over article 18.2.
19.1. Each party undertakes to keep confidential the non-public information of the other party of which it becomes aware in connection with the Contract, to use it only for the performance of the Contract and to disclose it only to its employees, managers, service providers and advisers who need to know it and are bound by an obligation of confidentiality.
19.2. Information that is public or has become public through no fault of the receiving party, already known to it, lawfully obtained from a third party or independently developed is not confidential. A party may disclose confidential information where the law, an authority or a court decision so requires.
19.3. The Client undertakes not to disclose information relating to the internal operation of the Service, Léa's instructions, the prices and specific conditions granted, or the results of performance or security tests of the Service.
19.4. This obligation applies for the term of the Contract and for five years after its end.
20.1. Easioo is bound by an obligation of means (best-efforts obligation) in the performance of the Service. Easioo may be held liable only in the event of a proven fault attributable to it, and only for the direct, certain damage that was foreseeable when the Contract was concluded and that results from it.
20.2. Easioo is not liable:
for the Client Content, the Generated Content approved or used by the Client, and the approved Posts;
for the consequences of the use or non-use of the Generated Content, and in particular for the errors, inaccuracies or omissions it contains, where the Client did not correct them before Approval or use;
for the reactions of the public, comments, reports or damage to image or reputation following a Post published as approved;
for the absence of commercial results, audience, visibility, engagement, reach or turnover;
for the decisions, failures, restrictions, changes or unavailability of the Platforms, the communication networks and the third-party services that Easioo does not control;
for damage resulting from a breach of the Contract by the Client or a User, from use of the Service that does not comply with it, from a disclosure or use of the Client's credentials, or from inaccurate information provided by the Client;
for the loss of data or content of which the Client has not kept a copy;
for the impossibility of publishing a Post due to the suspension, restriction or termination of the Client's access in the cases provided for in article 9.7.
20.3. The following losses, whether direct or indirect, are excluded from any compensation: loss of turnover, profit, margin, customers, chance, business opportunity or anticipated savings, damage to image or reputation, loss or corruption of data, costs of procuring a substitute service, and any loss resulting from a third-party action against the Client.
20.4. For all damage occurring during the same period of twelve consecutive months, all causes combined, Easioo's total liability under the Contract is limited to the amount, excluding taxes, actually paid by the Client to Easioo for the Service during the twelve months preceding the event giving rise to the first damage.
20.5. The limitations and exclusions of this article do not apply in the event of gross negligence or wilful misconduct by Easioo, of personal injury, or in cases where the law prohibits limiting or excluding liability. They do not deprive of its substance Easioo's essential obligation to publish a Post only if it has been approved, in its approved version and on the Social Account shown at the time of Approval.
20.6. The parties acknowledge that the price of the Offer reflects the allocation of risks and the limitations of liability provided for in this article, which are a decisive condition of Easioo's consent.
20.7. Any action by the Client against Easioo under the Contract must be brought within one year from the day on which the Client knew or should have known the facts enabling it to bring it, in accordance with articles 2224 and 2254 of the French Civil Code.
20.8. Each party agrees to bear the risk of a change of circumstances unforeseeable when the Contract was concluded, and waives the right to rely on the provisions of article 1195 of the French Civil Code.
21.1. The Client indemnifies Easioo against any claim, action, complaint or sanction by a third party, a Platform or an authority based on the Client Content, on an approved Post, on a breach by the Client or a User of the Contract, the law or the rules of a Platform, or on a breach of the Client's representations and warranties.
21.2. The Client compensates Easioo for all sums charged to it in this respect, in particular damages, fines, penalties and settlement costs accepted by the Client, as well as the reasonable advisory and defence costs incurred by Easioo.
21.3. Easioo informs the Client of the claim within a reasonable time, provides it with the relevant items in its possession and does not enter into any settlement charging a sum to the Client without the Client's agreement, which may not be refused without legitimate reason. The indemnity does not cover the part of the claim attributable to a fault of Easioo.
22.1. Neither party is liable for a failure to perform its obligations resulting from a case of force majeure within the meaning of article 1218 of the French Civil Code.
22.2. The parties agree that the following in particular constitute cases of force majeure, provided that they are beyond the reasonable control of the party invoking them: failures or interruptions of telecommunication networks, of the power supply or of hosting, infrastructure or artificial intelligence providers, the decisions, failures or changes of a Platform, cyberattacks despite the security measures implemented, epidemics, natural disasters, fires, strikes external to the party concerned, wars, riots, acts of terrorism and decisions of public authorities.
22.3. The prevented party informs the other as soon as possible. The obligations affected are suspended for the duration of the impediment. If the impediment lasts more than thirty consecutive days, each party may terminate the Contract by written notice, without compensation. The obligation to pay a sum of money that has fallen due is not suspended.
23.1. Easioo may suspend or restrict, in whole or in part, access to the Service, an Account, a Company, a connection to a Social Account or a Post, without notice where urgency or seriousness so justifies and without compensation, in particular in the event of:
a payment default, under the conditions of the Terms of Sale;
a disputed payment or a chargeback, under the conditions of the Terms of Sale;
a breach of the Contract by the Client, in particular of articles 5, 6, 10, 11 and 12;
a report or serious indication of unlawful or fraudulent content or use;
a risk to the security, integrity or availability of the Service, of other clients' data or of the Social Accounts;
a request from a Platform or from an administrative or judicial authority, or a legal obligation.
23.2. The measure is proportionate to the seriousness of the breach or the risk. Easioo informs the Client of it under the conditions of article 15.4. It is lifted once its cause has disappeared, without prejudice to Easioo's right to terminate the Contract.
23.3. Suspension or restriction does not interrupt the payability of the sums owed by the Client and gives rise to no refund where it is attributable to the Client.
24.1. The Contract is concluded for an indefinite term from its acceptance. Paid subscriptions are subject, as regards their term, renewal and termination, to the provisions of the Terms of Sale.
24.2. The Client may end the Contract at any time by deleting its Account from the Client Area or by sending a request to contact@easioo.com. Deleting the Account is final and irreversible. It ends any current subscription, without refund of the sums paid for the current period, subject to article 25. It is for the Client to request the export of its data (article 25.1) before deleting its Account.
24.3. Easioo may terminate the Contract:
at any time and without reason, subject to thirty days' notice given to the Client; in that case, the price corresponding to the paid subscription period remaining after the effective date of the termination is refunded to the Client;
automatically and without notice, by notification to the Client, in the event of a serious breach by the Client, in particular fraud, false statement, unlawful use of the Service, breach of articles 5, 6.2, 11 or 12, payment default under the conditions of the Terms of Sale or abusive chargeback, without prejudice to any damages; in that case, no sum is refunded;
in the event of a breach by the Client of any other obligation, not remedied within fifteen days of a notification that has remained without effect;
where no connection to the Account has been recorded for 24 consecutive months and no paid subscription is current, after informing the Client at least thirty days in advance.
24.4. The end of the Contract, for any reason whatsoever, ends the right to use the Service and makes all sums owed immediately payable. Articles 4.5, 12.2, 13, 14, 19, 20, 21, 25 and 28 survive the end of the Contract.
25.1. The Client may at any time, free of charge, obtain an export of its data in a structured, commonly used and machine-readable format, on request sent to contact@easioo.com from the address associated with the Account. Easioo sends it within one month of the request. The export includes the data relating to the Companies, the exchanges with Léa, the analyses, plans, calendars, Posts and evidence of Approval, the metadata of the media and the means of retrieving the media, as well as the history of acceptances of the contractual documents. Items protected by a trade secret or by an intellectual property right of Easioo or third parties are excluded from the export, in particular Léa's internal instructions, the access tokens of the Social Accounts and security data.
25.2. In accordance with chapter VI of Regulation (EU) 2023/2854, the Client may notify Easioo, with a notice period that may not exceed two months, of its decision to switch provider, to switch to on-premises infrastructure or to erase its exportable data. At the end of the notice period, Easioo makes the exportable data available to the Client and provides it with reasonable assistance during a transition period of at most thirty calendar days, during which the Contract continues to apply. Where this period is technically unfeasible, Easioo informs the Client within fourteen working days, giving its reasons and indicating an alternative transition period. The Contract ends at the end of the switching process or, where the Client has opted for erasure, on expiry of the notice period.
25.3. From the end of the transition period, the Client has a period of at least thirty days to retrieve its exportable data, at the end of which Easioo erases them completely, except for data whose retention is required by law or necessary for the establishment, exercise or defence of legal claims.
25.4. In the event of early termination of a prepaid annual period under the conditions of article 25.2, Easioo refunds the Client the fraction of the price corresponding to the days remaining after the end of the Contract. It deducts only the price discount from which the Client benefited during the days actually elapsed: this discount is equal to the difference between twelve times the monthly price and the annual price offered at the time of subscription or renewal, multiplied by the fraction of the annual period elapsed. The deduction may not exceed the sum to be refunded. It is not applied where the termination results from a breach by Easioo. The calculations are made excluding taxes, with a corresponding VAT adjustment.
25.5. Apart from the process provided for in article 25.2, where the Contract ends without the Account being deleted, Easioo keeps the Client's data for 24 months from the end of the subscription or the Contract, then deletes them. The Client may request their early deletion or delete its Account at any time.
25.6. Data deleted from the active database may remain in backups until the end of their rotation cycle, without being used for any other purpose.
25.7. Easioo does not guarantee that the exported data can be used by another service in an identical manner, nor that Léa's operation can be reproduced.
26.1. Easioo may change the Terms of Use, in particular to take account of changes to the Service, the law, a decision of an authority or the terms of a Platform. The new version is brought to the Client's attention by email or in the Service. It comes into force on the date stated in that notification, which may not be earlier than the date of the notification, and applies to facts occurring after that date.
26.2. A Client that does not accept the new version may terminate the Contract within thirty days of the notification, exclusively by email sent to contact@easioo.com from the address associated with the Account. The termination takes effect on the date of the request or on any later date indicated by the Client within that period; until that date, the previous version of the Terms of Use continues to apply to the Client, subject to article 26.5. The price corresponding to the paid subscription period remaining after the effective date of the termination is refunded to the Client. If the Client does not terminate within that period, it is deemed to have accepted the new version.
26.3. The applicable version is the one in force on the date of the fact concerned.
26.4. For a substantial change, Easioo may make the continued use of the Service subject to the express acceptance of the new version in the Service. A Client that does not accept it may terminate the Contract under article 26.2. Until the Client has accepted, Easioo may restrict access to the features of the Service, without prejudice to the Client's right to access and export its data under article 25.
26.5. By derogation from article 26.1, where the change is required by law, an authority or a Platform, or is made necessary by the security of the Service, it may come into force without delay, including before it is notified where urgency so requires, and apply to the extent required to a Client that has terminated within the period of article 26.2. Easioo informs the Client as soon as possible. The right of termination under article 26.2 remains available.
27.1. Assignment. The Client may not assign or transfer the Contract, free of charge or for consideration, without Easioo's prior written agreement. Easioo may assign or transfer the Contract to any company that it controls or that controls it, or to any successor in the context of a merger, contribution, demerger or transfer of all or part of its business, which the Client accepts in advance; the Client is informed thereof.
27.2. Commercial reference. Easioo may mention the Client's name and logo as a commercial reference, unless the Client objects by notice given at any time to contact@easioo.com.
27.3. Notices. Notices under the Contract are validly sent by email to contact@easioo.com for Easioo and to the email address associated with the Account for the Client, or in the Client Area. The Client is deemed to be aware of them on the date they are sent.
27.4. Service communications. The Client agrees to receive the emails necessary for the management of its Account, security, its subscription, its payments and its invoices, which cannot be switched off. The other notifications can be set from the Client Area.
27.5. Independence. The parties are independent contractors. The Contract creates between them no relationship of subordination, agency, partnership, joint venture or exclusivity.
27.6. No waiver. A party's failure to rely on a breach does not constitute a waiver of the right to rely on it later.
27.7. Severability. The nullity or unenforceability of a provision does not affect the other provisions. The provision concerned is deemed replaced by the valid provision closest to the intention of the parties.
27.8. Language. The Contract is drawn up in French. In the event of translation, only the French version is binding.
28.1. The Contract is governed by French law, excluding its conflict-of-laws rules.
28.2. In the event of a dispute, the parties seek an amicable solution. The Client sends its complaint in writing to contact@easioo.com.
28.3. Failing an amicable settlement, any dispute relating to the formation, validity, interpretation, performance or termination of the Contract is subject to the exclusive jurisdiction of the courts of Lyon, where both parties are traders, including in the event of multiple defendants, third-party claims or urgent or protective proceedings. Where the Client is established in another Member State of the European Union, the parties agree, in accordance with article 25 of Regulation (EU) No 1215/2012, on the exclusive jurisdiction of the courts of Lyon, France.
